Terms of ServiceAgreement

Agency: OnyxGrids | Effective Date: May 2026

By hiring OnyxGrids, you (the "Client") agree to the following terms:

1. Payment & Package Inclusions

Advance Payment

A non-refundable deposit of 50% is required to commence work. The remaining 50% balance is strictly due before the final handover of credentials.

What We Pay For (Inclusions)

If your selected package includes a Domain and Shopify Subscription, OnyxGrids covers these specific costs one-time only:

Domain Name:

Prepaid for 1 Year. Renewals after the first year are the Client's sole responsibility.

Shopify Subscription:

Prepaid and managed for the First 3 Months only. After 3 months, the Client must attach their own billing information to continue the service.

Exclusions (Ad Spend)

OnyxGrids does not pay for or fund any Advertisement Budget (e.g., Facebook, Instagram, or Google Ads). We only configure and set up the ad manager; the daily budget is paid directly by the Client to the respective platform.

2. Trust, Ownership & Confidentiality

100% Ownership

Upon full payment, OnyxGrids transfers 100% ownership of the website, domain, and all design assets to the Client. We hold no claim over your business assets.

Data Privacy

OnyxGrids guarantees that your product data, sales strategies, and customer info will remain strictly confidential. We do not share your business ideas with competitors.

Security

We ensure that the store is handed over with secure login credentials, which the Client is advised to change immediately after delivery.

2.4 Acceptable Use & Content Restrictions

OnyxGrids strictly adheres to global AI safety and ethical guidelines. Under no circumstances will our AI infrastructure or engineering team be used to create deepfakes, non-consensual likenesses, or any sexually explicit (18+) content. We reserve the absolute right to instantly terminate any project and cancel any contract that requests the generation of illegal, unethical, or restricted adult materials.

3. Limitation of Liability (The "Safe" Clause)

No Profit Guarantee

OnyxGrids builds high-quality, professional e-commerce stores. However, we are not responsible for the business's growth, sales volume, or profit margins. Success depends entirely on the Client's marketing budget, product demand, and overall business strategy.

No Ad Performance Guarantee

We set up professional ad campaigns (Pixel/Manager), but we do not guarantee specific "Cost Per Sale" or "ROAS" (Return on Ad Spend), as this is controlled by the ad platforms' algorithms.

4. Revision & Content Policy

Revisions

Packages include 3 Rounds of Revisions. Additional changes outside of this scope will be charged separately.

Content

The Client must provide all necessary images and text within 3 days. Delays by the Client in providing content will result in a pushed delivery date.

5. Refund Policy

No Refunds

Due to the nature of digital services and the time invested, all payments made are completely non-refundable once the work has commenced.

6. Strict Enterprise NDA & Confidentiality Protocols

At OnyxGrids, we engineer digital monopolies. We recognize that our clients' revenue data, product strategies, and digital architectures are their competitive advantages. To protect our Alliance Partners from corporate espionage and market replication, we enforce the following strict confidentiality rules by default on all contracts:

The "Brand Recognition" Clause:OnyxGrids reserves the right to display a client's brand name or logo in our portfolio strictly as proof of partnership. However, when the brand name is visible, we will never publicly share your revenue, conversion rates, or specific operational metrics.

The "Case Study Anonymity" Clause:When OnyxGrids shares documented project results, confidential client names, products, and account information remain anonymized unless the client has approved publication in writing.

AI Training Isolation:Any private business data, product catalogues, or customer queries processed by our Custom AI Chatbots or Agent Onyx will remain strictly siloed. We do not use your proprietary business data to train public LLMs (Large Language Models) or share it with external data brokers.

Raw Asset Deletion:For clients utilizing Onyx Visuals, all raw smartphone photos and unreleased product prototypes sent to our servers for AI synthesis are treated as highly classified. Once the final AI-generated assets are approved and delivered, the raw source files are purged from our active processing servers to prevent digital leaks before your product launch.
